Vertiv Holdings Co (NYSE: VRT), a global leader in critical digital infrastructure, has announced that it has entered into an agreement to acquire Purge Rite Intermediate, LLC (PurgeRite), a leading provider of mechanical flushing, purging and filtration services for data centres and mission-critical facilities. The deal, valued at approximately $1 billion in cash, also includes a potential additional consideration of up to $250 million, based on 2026 performance metrics.

The acquisition, representing roughly 10x expected 2026 EBITDA including cost synergies, is expected to be margin-accretive to Vertiv’s services business. PurgeRite’s integration will significantly strengthen Vertiv’s thermal management and liquid cooling capabilities, further reinforcing its position as a global leader in next-generation thermal chain services for AI-driven environments.

Supporting AI-Driven Data Centres with Advanced Cooling Solutions

As AI and high-performance computing (HPC) workloads continue to increase heat density in data centres, efficient liquid cooling systems are becoming critical. Clean, stable, and optimally flowing fluids are essential for maximising thermal performance and maintaining uptime. PurgeRite’s engineering expertise and proprietary technologies support complex liquid cooling applications, from chillers to coolant distribution units (CDUs), ensuring greater efficiency, resiliency, and operational performance.

With deep relationships across hyperscalers and Tier-1 colocation providers, PurgeRite has built a strong reputation as an industry leader in flushing, purging, and filtration services for mission-critical environments.

Vertiv’s Strategic Expansion in Thermal Management

Following completion of the transaction, PurgeRite’s services will integrate with Vertiv’s existing liquid cooling offerings, delivering end-to-end thermal management solutions from facility to rack. Customers are expected to benefit from:

Headquartered in Houston, Texas, PurgeRite plans to expand its service centre network across North America following the acquisition.

Transaction Details

Stifel is acting as the sole financial advisor to Vertiv, while Buchanan, Ingersoll & Rooney PC provided legal counsel. Harris Williams is serving as financial advisor to PurgeRite, with DLA Piper LLP (US) as legal counsel.

The acquisition remains subject to customary closing conditions, including regulatory approval under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, and is expected to close by Q4 2025.
