Vertiv to Acquire PurgeRite for $1 Billion to Expand Liquid Cooling Services Portfolio
The planned acquisition is set to boost Vertiv’s leadership in next-generation thermal management for AI and high-density data centres.
Vertiv Holdings Co (NYSE: VRT), a global leader in critical digital infrastructure, has announced that it has entered into an agreement to acquire Purge Rite Intermediate, LLC (PurgeRite), a leading provider of mechanical flushing, purging and filtration services for data centres and mission-critical facilities. The deal, valued at approximately $1 billion in cash, also includes a potential additional consideration of up to $250 million, based on 2026 performance metrics.
The acquisition, representing roughly 10x expected 2026 EBITDA including cost synergies, is expected to be margin-accretive to Vertiv’s services business. PurgeRite’s integration will significantly strengthen Vertiv’s thermal management and liquid cooling capabilities, further reinforcing its position as a global leader in next-generation thermal chain services for AI-driven environments.
Supporting AI-Driven Data Centres with Advanced Cooling Solutions
As AI and high-performance computing (HPC) workloads continue to increase heat density in data centres, efficient liquid cooling systems are becoming critical. Clean, stable, and optimally flowing fluids are essential for maximising thermal performance and maintaining uptime. PurgeRite’s engineering expertise and proprietary technologies support complex liquid cooling applications, from chillers to coolant distribution units (CDUs), ensuring greater efficiency, resiliency, and operational performance.
With deep relationships across hyperscalers and Tier-1 colocation providers, PurgeRite has built a strong reputation as an industry leader in flushing, purging, and filtration services for mission-critical environments.
Vertiv’s Strategic Expansion in Thermal Management
“This acquisition represents a strategic expansion of Vertiv’s fluid management capabilities, from design through maintenance,” said Gio Albertazzi, CEO at Vertiv. “PurgeRite’s specialised services and engineering excellence are expected to complement our existing portfolio and strengthen our ability to support high-density computing and AI applications where efficient thermal management is critical to performance and reliability. This transaction aligns with our priority of deploying capital towards strategic acquisitions that strengthen and expand our leadership across the critical digital infrastructure ecosystem.”
Following completion of the transaction, PurgeRite’s services will integrate with Vertiv’s existing liquid cooling offerings, delivering end-to-end thermal management solutions from facility to rack. Customers are expected to benefit from:
- Improved system performance and equipment efficiency
- Reduced risk of downtime through operational excellence and fast execution
- Expanded global service coverage with consistent quality
Headquartered in Houston, Texas, PurgeRite plans to expand its service centre network across North America following the acquisition.
