Adani Energy Solutions Expands Digital Energy Portfolio with INR 3,050 Crore IntelliSmart Deal
To acquire a 100% equity share in IntelliSmart Infrastructure Private Ltd., Adani Energy Solutions Ltd. (AESL) announced that it has completed a binding securities purchase and subscription agreement. For INR 3,050 crore, AESL acquired a smart metering joint venture (JV) from Energy Efficiency Services Ltd (EESL) and the National Investment and Infrastructure Fund (NIIF).
The acquisition will solidify AESL's position as the leading smart metering platform in India, boasting more than 4.7 crore smart meters, according to the business. The acquisition of IntelliSmart improves the firm's scale and execution skills, according to Kandarp Patel, CEO of Adani Energy Solutions. Additionally, AESL is able to provide a hand to India's efforts to update its power distribution system by providing technologically advanced solutions.
Specifics and Importance of the Deal
Acquiring all of IntelliSmart's equity share capital and redeeming NIIF's optionally convertible debentures (OCDs) are the two main components of the agreement. In IntelliSmart, NIIF holds 51% of the stock and EESL the other 49%. When it comes to the value chain of electricity, India's power distribution sector has always been the weakest link. In spite of the country's substantial increase in production and transmission capacity over the last decade, discoms have been struggling with high aggregate technical and commercial (AT&C) losses, inadequate billing systems, late collections, and ongoing financial strain.
To address these systemic issues, India is installing smart meters in hundreds of millions of homes. These meters will help with many things, including more precise invoicing, better demand forecasting, fewer AT&C losses, better grid planning, and more efficient operations.
Additionally, smart meters allow utilities to acquire detailed, up-to-the-minute data on power usage, which improves network management. In recent years, smart meter implementation has accelerated at a rapid pace. From a small number of pilot installations in FY14–FY16 to approximately 50 million metres in FY26, the use of smart meters has been steadily rising.

Central Government’s Revamped Distribution Scheme
The sale of IntelliSmart is linked to the government's revised distribution sector plan. As part of its plan to update its power distribution infrastructure, India plans to install smart meters in place of 250 million older, more inefficient meters. With funding of almost INR 1.35 lakh crore, the programme is set to run until 2035. For forty-five distribution utilities in twenty-eight states and the District of Columbia, the programme has authorised smart metering installations.
For this deal, AESL's legal counsel was Cyril Amarchand Mangaldas. Having said that, the sellers' legal counsel was Talwar Thakore & Associates, and their exclusive transaction advisors were Deloitte Touche Tohmatsu India. Greater Mumbai and the Mundra Special Economic Zone (SEZ) are AESL's distribution hotspots, with over 13 million customers served. With an order book of over 24.6 million meters, the company is planning to become India’s largest smart metering integrator, and it is scaling up its smart metering business.
