An all-cash deal for over $420 million has been struck between the Israeli adtech firm Perion and the Indian firm Affle. The agreement was signed on October 30, the penultimate trading day before Perion stockholders will receive their $11.70 per share, which is a premium of 34.5% over the closing price.

Cash, short-term deposits, and marketable securities totalling $228.3 million were also on Perion's books as of September 30. It follows that the headline price is an especially glaring indicator of the fall of the company. The market valuation and yearly income of Perion were over $1 billion only three years ago.

Specifics of the Affle Acquisition Deal with Perion

After the acquisition closes, Affle will have grown into a major worldwide omnichannel platform serving thousands of advertisers in over 100 countries across a wide range of industries with premium use cases that drive consumer conversions. Affle is reiterating its dedication to growing its presence around the world with this acquisition. And it will improve its technological prowess while providing long-term benefits to its shareholders.

The planned acquisition expands upon this strong base by merging Perion's well-established presence across all digital advertising channels in developed markets and Affle's expertise in mobile marketing and artificial intelligence-driven performance-based consumer conversions in emerging markets. Its CPCU company will see a significant expansion of its total addressable market opportunity and a strategic shift as a result of this. Perion's advertising campaigns can benefit from Affle's CPCU model-powered verticalised solutions, which can increase premium consumer conversions through CTV to Cart and DOOH to Cart based retail commerce outcomes.

Recent Market Performance of Perion

Microsoft altered the conditions of its search advertising agreement with distribution partners, which included Perion, in 2024, marking the beginning of Perion's collapse. Because of the change, Perion's income from its partnership with Bing dropped significantly. The company's reliance on a business model that is mainly controlled by a much larger technological partner is therefore exposed. For many years, Perion served as a go-between for advertisers and consumers via search engines, with a cut of the ad revenue. Crucial to the success of that venture was the company's collaboration with Microsoft.

Microsoft was responsible for 85% of the revenue in the search-related activities area in 2023, which made up 46% of Perion's overall revenue. Perion and its clients took a major hit when Microsoft cut RPM, or revenue per thousand impressions, as a result of changes to how it paid distribution partners. Search advertising income has been declining, and it has been difficult to recover. This highlights a long-standing weakness in the adtech sector: the fact that a dominating platform like Google or Microsoft may ruin an entire business model with just one policy or price adjustment.
