In a deal worth around $17 billion, food delivery service DoorDash has agreed to buy out Instacart. This deal unites two formidable forces in the US online delivery industry. As per the official announcement made on October 29, DoorDash has agreed to purchase Instacart's parent company, Maplebear Inc., for $65 per share. The deal has received unanimous approval from Instacart's board of directors.

With proration and a cap on the stock component, Instacart shareholders can choose between cash, DoorDash shares, or a mix of the two for at least 75% of the consideration. It is anticipated that the deal will close either in the latter half of 2027 or early 2028. The deal's closing is contingent upon the usual closing conditions, such as shareholder approval and regulatory clearances.

DoorDash Enhancing its Portfolio with Instacart Deal

According to DoorDash, small companies will be able to reach a wider audience thanks to the merger of their delivery network with Instacart's food and fulfilment technologies. Through its applications and the shops' own websites, the merged firm intends to provide technology and delivery services to retailers. Additionally, it plans to assist local firms in growing their online operations by integrating its advertising and artificial intelligence technologies. DoorDash announced that, in addition to the approximately 100,000 retailers currently available through Instacart, users might have access to over 50,000 new stores.

A single subscription cost, rather than two, will be available to subscribers of DashPass and Instacart+, according to the firms. According to DoorDash, the merger has the potential to save members almost $100 million per year in membership fees. The businesses involved have stated that customers may have more alternatives for stores, discounts, and faster delivery as a result of the merger. Shoppers on Instacart and DoorDash could also find new ways to make money as a result.

DoorDash to Further Build on the Nexus of Instacart

The app, enterprise IT tools, and Instacart brand are expected to remain with DoorDash following the completion of the acquisition. They pledged to fight grocery exclusivity, but local grocers may still partner with any delivery service they wanted. Instacart customers would still have control over their schedules and the orders they accept. They have the option to accept orders from DoorDash or stick with Instacart only. Both DoorDash and Instacart will keep running their own businesses until the deal is finalised.

Cash on hand and debt finance are the expected sources of funding for the cash portion of the acquisition by DoorDash. It has received a 364-day senior unsecured bridge loan facility to support the debt component through a finance commitment letter with JPMorgan Chase Bank, subject to standard conditions. A financing condition is not applicable to the transaction. The capital structure that DoorDash is aiming for will allow it to keep its investment-grade credit ratings, according to the company.
