An official acquisition agreement between U.S. software business Freshworks and Torii has been inked. An Israeli software firm called Torii created a system to automate the administration of business software. Although the deal is believed to be on the smaller side, no details regarding the financial aspects were revealed. About 4,500 individuals work for Freshworks, which is listed on the Nasdaq.

Uri Nativ, Tal Bereznitskey, Uri Haramati, and Haramati co-founded Torii in 2017 with the goal of providing businesses with a tool to track employee usage of cloud services and software, as well as to manage subscriptions and licences, cut expenses, and restrict access. The system tackles the issue of "shadow IT," wherein certain departments or employees utilise software without official supervision from the IT department.

How Deal Beneficial for Freshworks?

Through this acquisition, Freshworks will be able to expand its Freshservice platform into software management and artificial intelligence spending governance. Torii enhances Freshservice, an IT service management platform, with features for tracking software and AI tool expenditure, managing licensing, and monitoring software usage. Companies claim that by merging their systems, organisations would be able to see all of their technological assets, usage, and expenditures in one place, eliminating the need for separate platforms.

Keeping tabs on AI usage down to the token level is a powerful feature of Torii. Consequently, estimating future expenses and assigning use to certain teams and people. With the platform's assistance, businesses can set expenditure limits, distribute AI costs to the departments that need them, and spot any suspicious spikes in spending before they escalate. Organisations may handle security and data concerns linked to unmanaged applications and eliminate excessive software spending with the help of the solution.

Specifics of Acquisition

Subject to the usual closing conditions, the transaction is anticipated to close in Freshworks' fourth fiscal quarter of 2026. The two businesses will keep running separately until the deal closes. Torii informed clients that their current integrations, workflows, support contacts, contract terms, and product development plans will not be changed immediately. Torii has successfully raised $65 million. It launched a $3.5 million seed round in May 2019, with participation from Global Founders Capital and Entrée Capital, managed by Uncork Capital.

As of February 2021, the company had reportedly raised $15 million, with $10 million coming from a Series A financing spearheaded by Wing Venture Capital. The business previously announced plans to grow its commercial operations in the US and its technical and data science teams in Israel. Total funding for Torii reached $65 million in February 2022, with $50 million coming from a Series B round led by Tiger Global Management and including participation from current investors. Despite saying it had grown substantially from the last round, the firm did not reveal its valuation at the time.
