OYO Parent PRISM Reduces IPO Fresh Issue by Nearly 50% to INR 3,350 Crore

OYO’s parent PRISM has cut its proposed IPO fresh issuance by almost half to INR 3,350 crore from roughly INR 6,650 crore on the back of strong cash creation and improved balance sheet. Most of the IPO proceeds will be used to repay or prepay debt.

In its planned initial public offering (IPO), OYO parent PRISM intends to almost cut the fresh issue size in half, from almost INR 6,650 crore to up to INR 3,350 crore. Strong cash creation and a strengthening balance sheet situation followed the reduction in the issuance size.

Because of this change, the quantity of money the business has to raise is less than what was first planned. Prior to the release of the company's most recent financial results, the initial issue was scaled. The finance requirement has decreased due to the robust cash creation and improving balance sheet. Consequently, the firm is able to raise less primary capital.

Why PRISM Cuts Down Issue Size?

The PRISM's goal, according to a news outlet, is to raise the necessary funds while maintaining an efficient capital structure. Over the next 2-3 years, the company's cash flows will be used to pay off the remaining debt. The original intention of OYO's first public offering (IPO) was to raise up to INR 6,650 crore, with around INR 5,000 crore of that amount going toward paying off debt. As part of its ongoing efforts to reduce its outstanding debt, PRISM has reduced the issue size.

The proposed new structure calls for the majority of the issuance proceeds to go toward paying down or prepaying specific loans. After previously submitting the UDRHP (Updated Draft Herring Prospectus), PRISM is now moving on to the next step of its proposed initial public offering (IPO). This amended issue is part of that process. PRISM's outlook has been changed from 'stable' to 'positive', according to Moody's Ratings, which has also confirmed the B2 corporate family rating of the travel tech unicorn.

OYO Rebranded to PRISM

To unify its growing global hospitality and associated industries under a single brand, OYO changed its parent company's name to Prism in September 2025. In addition to the OYO brand, it offers Motel 6, Studio 6, Belvilla, DanCenter, Innov8, and Weddingz.in. According to an interview, Ritesh Agarwal, the founder and CEO of Oyo, said the rebranding represented the evolution of the company. This change also shows that tourists are looking for high-end and middle-class lodgings, while OYO is still targeting the budget sector.

In a market where branded options were scarce, OYO first concentrated on offering clean and comfortable budget housing. According to Agarwal, the demand for premium and mid-market travel experiences has been driven by increased consumer incomes and ambitions. Revenue for Prism increased to INR 6,325.9 crore in FY25 from INR 5,541.6 crore in FY24, a 14% increase, thanks to increases in premium stays, foreign markets, and better pricing. Revenue reached INR 6,252.8 crore, an increase of 16% over the previous year. Prism expanded investments to support future growth, resulting in a 26% drop from FY24 to INR 942.1 crore, the company's second consecutive profitable year.
