Schneider Electric Plans PTC Acquisition in Major US Software Deal

Schneider Electric has agreed to purchase US-based software business PTC in an all-cash deal worth $22.6 billion for the company’s shares and $23.7 billion including enterprise value. The offer of $205 a share is 42.3% over PTC’s most recent closing price.

In an all-cash deal valuing the US software giant's shares at roughly $22.6 billion, Schneider Electric, a French company, said on October 5 that it had reached its largest acquisition to date by agreeing to acquire PTC. The offer, which is a 42.3% premium to PTC's last closing price, amounts to $205 per share and suggests an enterprise value of $23.7 billion for the Boston-based company.

According to a note from JP Morgan's analysts to investors, European investors aren't usually fans of large-scale mergers and acquisitions (M&A). However, the agreements struck by Schneider Electric have usually been smart strategically, even though their pricing is up for debate. Based on data from LSEG, Schneider is the third most valuable listed business in France by market capitalisation, and this acquisition is their biggest to date.

Schneider Expanding its Business with Acquisitions

Schneider predicted that the acquisition would establish an expanded AI and industrial software company based on open and interoperable systems. Further, it will also build revenue synergy of approximately €800 million and a run-rate cost savings of €250 million by the third year following closing. After agreeing to acquire privately held provider of artificial intelligence software and industrial data Cognite Holding in June, Schneider reportedly is pushing into software acquisitions with this agreement.

The project is anticipated to conclude in the third quarter of 2027 and will be funded by a mix of available equity and new debt, according to Reuters. Schneider, whose name is now synonymous with industrial components like circuit breakers and fuses, now constructs the infrastructure of data centres. Therefore, providing essential power distribution equipment in addition to cooling units and server racks. Schneider is benefiting from the surge in demand for data centres, especially in the US. In addition, it provides an expanding revenue stream that can help counteract the decline in certain more conventional electrical-equipment sectors.

Why Acquisition is a Golden Ticket for PTC?

With an expected revenue of $2.75 billion in 2026, Boston-based PTC has been in business since 1985. Schneider would enhance its capabilities by acquiring PTC's software, specifically its Creo design platform, in addition to what it obtained via its Aveva acquisition. These resources aid in the design of production facilities and engineering procedures. The proposed transaction would provide a substantial premium on PTC's current market valuation of $15.5 billion.

So far in 2026, PTC shares have dropped by 15.3%. Schneider, a company that focuses on energy management and industrial automation, has had a 28% increase in its share price this year, increasing its market valuation to €175 billion (~$195 billion). Schneider is the third-largest publicly traded firm in France right now.  One company that has profited from the increasing demand for its AI-powered tools is PTC, which offers software solutions for various product design, manufacturing, and maintenance needs.
