Carlsberg India Updates IPO Papers as Company Prepares for Stock Market Debut
Carlsberg India has submitted a revised draft red herring prospectus (DRHP) to the capital markets regulator SEBI for its proposed IPO, which will include an offer of sale of up to 8.64 crore shares by promoter South Asian Breweries. The public offering does not involve any new issuing of shares.
Carlsberg India Ltd., the Indian subsidiary of the Danish brewing behemoth Carlsberg, is getting closer to its initial public offering (IPO). In preparation for an initial public offering (IPO), the company has amended the papers it submitted to market regulator SEBI. South Asian Breweries Pvt Ltd., the promoter, is offering up to 8.64 crore equity shares in the proposed IPO.
Based on the revised draft red herring prospectus (DRHP) dated October 27, the IPO does not include any fresh issue component. This comes after the company's IPO was greenlit by SEBI on October 1, allowing for additional public offering preparations.
Carlsberg India Opted for Confidential Pre-Filing Route
By means of the confidential pre-filing procedure, Carlsberg India had delivered its preliminary offer paperwork to SEBI on July 1. Companies can submit SEBI draft offer documents for assessment via the confidential filing procedure, which prevents the rapid public disclosure of commercially sensitive material. This is only the latest example of the increasing number of multinational corporations eyeing India's stock markets, and Carlsberg is no exception.
Hyundai Motor and LG Electronics, two South Korean multinationals, have both listed their Indian businesses. Tuborg, Carlsberg Elephant, and Kronenbourg 1664 Blanc are just a few of the well-known beer brands produced by Carlsberg India. In terms of numbers, the business's revenue dropped 2.2% to INR 8,708.8 crore in FY26. Its profit, however, increased by 22% to INR 534.51 crore in the fiscal year. The public offering's book-running lead managers are JPMorgan India, Citigroup Global Markets India, and Kotak Mahindra Capital Company.
Rajasthan Pollution Board Directs Carlsberg Plant Closure
Before its planned India IPO, the Rajasthan State Pollution Control Board (RSPCB) revoked the operating permit of Carlsberg India and ordered the facility's shutdown in Alwar. Particulate matter emissions were discovered to be nearly eight times the allowed limit during a regulatory check.
There was insufficient communication between the emission monitoring system and the Central Pollution Control Board (CPCB), which was also revealed during the inspection. A copy of the RSPCB ruling shows that samples taken during a CPCB inspection in July 2026 had a particulate matter content of 633 mg/Nm³, which is higher than the authorised limit of 80 mg/Nm³.
The facility's permission to operate was granted by RSPCB in April 2024 and will be valid until October 31, 2028. Nonetheless, the Board delivered a show-cause notice in August 2025, demanding that the consent to operate be revoked due to particulate matter emissions that were higher than the allowed limit and accusing data tampering involving OCEMS. In March of 2026, before the facility was inspected in July, CPCB gave instructions on the stack-emission monitoring infrastructure, as stated in the order that followed this occurrence.
