Purple Style Labs IPO: Full Shareholder Breakdown and Why Nobody Is Selling
When Purple Style Labs pulled its shareholder register on August 21, 2026, the BENPOS date behind its IPO filing, the list ran to thirteen names holding more than 1% of the company, led by founder Abhishek Agarwal's 26.09% stake. What stands out isn't who made that list. It's what none of them are doing: selling. Purple Style Labs' ₹680 crore IPO carries zero shares on offer for sale, so every one of those shareholders walks into listing day holding exactly what they hold today.
That is unusual. Several recent consumer and D2C listings in India have paired a fresh issue with a sizeable OFS, letting early backers book a partial exit on day one. Purple Style Labs skipped that entirely. Every rupee raised in this IPO goes onto the company's own balance sheet, not into any shareholder's pocket.
Purple Style Labs' IPO carries zero shares on offer for sale, meaning every pre-issue shareholder, from founder Abhishek Agarwal down to its smallest 1% holder, keeps their full stake through listing day.

Three names on that list are worth a second look:
- Volrado Venture Partners Fund II is sponsored by investor Akash Bhanshali, a familiar name in Indian public markets.
- Singularity Growth Opportunities Fund I is backed by Madhusudan Kela, the former Reliance Capital chief investment strategist turned independent investor.
- Abhinav Agarwal, the second-largest individual holder at 2.17%, is also the company's Whole-Time Director and Chief Business Officer, per the RHP.
Where the Other 49% of Purple Style Labs Sits
Group that table by category and you can see how concentrated the register really is, and how much of it Purple Style Labs simply doesn't itemise.
| Category | Shares held | % of pre-issue capital |
|---|---|---|
| Promoter (Abhishek Agarwal) | 19,100,000 | 26.09% |
| Promoter Group (other than Promoter) | 180,000 | 0.25% |
| Promoter and Promoter Group combined | 19,280,000 | 26.34% |
| Named public shareholders (1%-plus holders) | 12,908,400 | 17.63% |
| Other public shareholders (unnamed, below 1% each) | 36,046,600 | 49.24% |
| Total accounted for in the RHP table | 68,235,000 | 93.21% |
| Gap versus 100% (explained below) | N/A | 6.79% |
That 6.79% gap isn't a disclosure hole. The RHP calculates these percentages on a fully diluted basis, meaning the denominator includes shares issuable on exercise of vested ESOP 2024 options, while the share counts in the table reflect only equity actually held as per the BENPOS. The gap approximates the dilutive effect of the outstanding option pool, which the RHP doesn't break out shareholder by shareholder.
Here's the part that matters for you if you're weighing this IPO: nearly half the company sits inside a single "other public shareholders" line that carries no names in the main capital structure table. But a separate, fuller shareholder annexure in the RHP does name individual holders below 1%, and three of them are recognisable.
The Celebrity Shareholders the RHP Does Name
Sachin Tendulkar holds 110,000 equity shares, or 0.15% of the pre-issue fully diluted capital, according to a full shareholder list annexed to the RHP, distinct from the top-10 table above. That figure is stated directly, share count and percentage both.
Two other names turn up in a different annexure, the list of allottees under Purple Style Labs' August 2025 bonus issue, which gave existing shareholders 999 new shares for every 1 they already held:
- Shah Rukh Khan, holding via the Gauri Khan Family Trust, received 59,940 bonus shares. Divided by the 999:1 ratio, that implies a pre-bonus holding of exactly 60 shares, and a total current holding of roughly 60,000 shares, about 0.08% of the company.
- Madhuri Dixit Nene received 49,950 bonus shares, implying a pre-bonus holding of exactly 50 shares and a total current holding of roughly 50,000 shares, about 0.07% of the company.
Those last two figures are our own calculation, not a number the RHP states outright, though the math is clean: both bonus allotments divide evenly by 999, which is what gives us confidence in the estimate. All three holdings, Tendulkar's, the Khan family trust's and Dixit Nene's, sit inside the 49.24% "other public shareholders" bucket in the main table, which is exactly why none of them showed up in our first pass through the RHP's top-10 disclosure.
When Abhishek Agarwal's Promoter Lock-In Actually Unlocks
Every pre-issue shareholder's stock stays locked in to some degree after listing, under SEBI's ICDR framework. Using the RHP's indicative allotment date of on or about September 4, 2026, here's what that looks like on a calendar.
| Holder category | Lock-in period | Approximate unlock date |
|---|---|---|
| Promoter's Minimum Promoter Contribution (20% of fully diluted post-issue capital) | 18 months from allotment | Early March 2028 |
| Promoter's holding in excess of Minimum Promoter Contribution | 6 months from allotment | Early March 2027 |
| Entire other pre-issue capital (all public shareholders, including the named 1%-plus holders) | 6 months from allotment | Early March 2027 |
| Shares held by VCFs, Category I AIFs, Category II AIFs or FVCIs | 6 months from date of purchase by the entity | Varies by original purchase date |
| Shares acquired via ESOP 2024 exercise | No separate IPO lock-in beyond scheme terms | Not applicable |
Because the Minimum Promoter Contribution is fixed at 20% of the company's total post-issue capital, and dilution from the fresh issue means Abhishek Agarwal's post-issue stake is likely to land only modestly above that 20% mark, most of his holding probably falls under the longer 18-month lock. The exact split can't be calculated until the final issue price sets the post-issue share count, and we're not going to guess at it here. For the named public shareholders in the table above, including Volrado Venture Partners Fund II and Singularity Growth Opportunities Fund I, the standard six-month lock-in means their holdings become tradeable around early March 2027, unless the VCF or AIF carve-out applies, in which case the clock started running on their original purchase date instead.
Abhishek Agarwal's Stake, Before and After the IPO
Abhishek Agarwal holds 26.09% of Purple Style Labs pre-issue, or 1.91 crore equity shares, per the RHP. His post-issue percentage will only be confirmed once the final issue price and allotment are set, since that depends on precisely how many new shares get issued inside the ₹680 crore fresh issue.
Purple Style Labs' ESOP 2024 Numbers
Purple Style Labs runs its options directly under the ESOP 2024 scheme rather than routing them through a separate ESOP trust that shows up on the cap table. As of March 31, 2026, its directors and key managerial personnel together held 3,059 vested stock options under the scheme. The company recognised ₹58.07 crore in share-based payment expense attributable to directors and KMPs in fiscal 2026 alone, most of it tied to option exercises rather than fresh grants, since the company issued nil new options to this group during the year.
Why No One Can Calculate a Return Multiple Here
Because this IPO carries no OFS, there's no realised sale price for any early investor to cash out at, so there's nothing for anyone to compute an early-versus-late investor return multiple against. I haven't seen any outlet publish that kind of analysis for this issue, and none should be assumed. If someone does publish one closer to listing, it belongs to them, not to Purple Style Labs' own disclosures, and we'll credit it that way if we use it.
