Uber in Talks to Buy Delivery Hero, Signaling Major Global Expansion Plans
Uber to buy Delivery Hero in €13.8 billion agreement to dramatically expand worldwide mobility and food delivery company. The acquisition will extend Uber’s footprint in 99 markets, boost its Uber Eats platform
The business combination agreement to purchase Delivery Hero was negotiated by Uber Technologies (UBER), who aims to expand further. The objective of this action is to broaden the mobility and delivery platform to 99 markets, with a combined pro forma gross bookings of $236 billion in 2025.
The voluntary takeover offer states that for every share of Delivery Hero, Uber will pay €41.50. Therefore, the latter is worth around $13.8 billion, or $13.7 billion when the former's current holding is adjusted accordingly. Prior to the transaction, Uber had an economic stake of 11.74% in Delivery Hero through stock derivatives and a voting stake of about 24.77% in the company. Now that Prosus has decided to sell its approximately 17% share, Uber's overall economic interest is close to 53%.
Roadmap of Delivery Hero Acquisition Deal
The deal includes the acquisition of Delivery Hero's operations in fourteen regions where the company's activities are most closely related to Uber Eats by SSW Partners, an investment firm based in New York. The deal is worth approximately $1.6 billion, and it will provide SSW the freedom to choose the best long-term strategic owners for various companies. Nevertheless, Delivery Hero's activities in fifty different markets will be acquired by Uber. Therefore, amounting to almost $42 billion in total reservations for the year 2025.
When Uber integrates Delivery Hero's well-known local brands, merchant network, and delivery skills into its own global technological platform, it should be a stronger platform overall. Consumers should expect more options and an improved Uber One membership offer as a result of the merger. Additionally, with the help of advertising, promotional, and commerce technologies, Uber's huge user base will bring in more demand for merchants' products. Order volumes, courier utilisation, and revenue prospects for delivery partners and drivers are all predicted to rise with a denser network.
A win-win Deal for Uber
With this acquisition, Uber's total number of markets where it operates both mobility and delivery services will increase from 34 to 58, nearly doubling the current amount. Customers who utilise both services produce almost three times as much revenue as those who use just one product, claims the business. Assuming all goes according to plan, Uber anticipates a positive impact on adjusted earnings per share at close and profits accretion in the high single digits by year three. All members of Delivery Hero's supervisory board and upper management are in favour of the deal.
So, it's being framed as a chance to fortify the competitive position and expand the fast commerce and food delivery industries. In addition, by utilising Uber's worldwide platform, the Everyday App concept is advanced through the deal. Additionally, Uber has promised to keep Delivery Hero's Berlin headquarters and employees there until at least 2029. Moreover, the German automotive sector and the company's local operations will both benefit from the €2 billion investment over the next five years, which will also help with corporate workforce strength, autonomous car deployments, and partnerships.
