Shiprocket IPO: Who's Cashing Out, Who's Staying, and Investor Returns Explained
Early backer 500 Global stands to make roughly 78x on its Shiprocket exit. Some later-stage investors are selling below cost. Here is the full shareholder breakdown.
Shiprocket's IPO is not just about company financials. With no single controlling promoter and a cap table built up over 15 years of funding rounds, the offer for sale (OFS) portion of the issue sets up sharply different outcomes for different shareholders, depending entirely on when they got in and at what price.
Who Owns Shiprocket Today
As of the RHP, Shiprocket had 128 shareholders in total. The company's largest holders, those owning 1% or more of the pre-offer paid-up capital on a fully diluted basis, are as follows:

Early Backers Are Set to Win Big
According to an Entrackr analysis of the RHP filing, the gap between early and late entrants shows up clearly once you compare OFS proceeds against each investor's original entry cost. At the upper price band of ₹97, early backer 500 Global is estimated to generate around 77.6x on its OFS portion, the single biggest return multiple in the offer. Tribe Capital is estimated at roughly 7.7x on its ₹120 crore OFS, while Agility International and March Capital are estimated at around 2.6x and 2.1x on their respective portions.
These multiples are Entrackr's own calculation, based on disclosed acquisition costs cross-referenced against the RHP, not figures Shiprocket has stated directly. They should be read as an informed estimate rather than an audited number.
Late-Stage Investors Face a Different Picture
The picture flips for investors who entered at higher valuations in Shiprocket's later funding rounds. Lightrock, the single largest seller in this OFS at ₹271.7 crore, is estimated to realise only around 0.72x, a loss relative to entry cost, on the shares it is selling. AFOS (linked to McKinsey) and Moore Strategic Ventures are estimated at roughly 0.59x and 0.67x, respectively, on their OFS portions. This does not necessarily mean these investors are underwater on their entire Shiprocket holding, only on the specific tranche being sold at this price band.
Founders Are Partially Exiting, Not Cashing Out
Founders Saahil Goel and Gautam Kapoor are each paring a modest slice of their holding, cashing out ₹61 crore apiece through the OFS, while retaining the bulk of their individual 4.84% stakes, roughly 3.08 crore shares each, on a pre-offer basis. Their combined holding together with Vishesh Khurana's stands at 10.68% pre-offer. Khurana, who ceased to be an employee of the company in May 2026, is selling ₹20 crore worth of shares while retaining a 0.99% stake.
Between them, the three individuals also hold vested and unvested ESOPs that would take their combined effective stake to as high as 13.38% on a fully diluted basis once all granted options are accounted for.
Not Everyone Eligible Is Selling
Some of Shiprocket's largest shareholders chose to sit this one out entirely. Bertelsmann Nederland B.V. (Bertelsmann India Investments), the company's single largest shareholder at 21.32%, was part of the OFS in an earlier draft filing but has opted out of the final RHP. Arvind Limited, Eternal (formerly Zomato, 6.85%) and Temasek-linked MacRitchie Investments (5.29%) have likewise chosen to hold their positions rather than sell at this price band, a signal that these investors see more room to run post-listing than the sellers do.
The Employee Stake
The Shiprocket Employee ESOP Trust (formerly the Bigfoot Employee ESOP Trust) holds 5.97% of the company, around 3.8 crore shares, reflecting a broad-based employee ownership pool built up through the company's history, including a 265:1 bonus share issue in November 2025 that significantly expanded the ESOP pool's effective size ahead of listing.
